Terms of Service

These Terms of Service (the “Terms”) govern your use of the websites, portals and online tools operated by Moonscape Business Solutions, Inc., a Florida corporation (“Moonscape”, “we”, “us”), including moonscape.biz, app.moonscape.cloud and any client help desk or portal we make available (together, the “Sites”). By using the Sites you agree to these Terms. If you don’t agree, please don’t use the Sites.

If you are a client receiving IT services from us, those services are governed by the Master Service Agreement and the Order Form or Statement of Work you signed, not by these Terms. Where the two conflict, the signed agreement controls.

2. Using the Sites

You may use the Sites to learn about our services, request a quote, book a call, open a support ticket, read our articles and, where we offer it, buy products or licences. You agree to use the Sites only for lawful purposes and in a way that doesn’t interfere with anyone else’s use of them.

You must not: attempt to gain unauthorized access to any part of the Sites, our systems or our clients’ systems; probe, scan or test the vulnerability of the Sites without our written permission; use automated tools to scrape, harvest or bulk-download content or data; upload malware or anything designed to disrupt a system; impersonate another person or company, or misrepresent who you work for; or use the booking tool, forms or help desk to send unsolicited commercial messages.

We may suspend or block access to the Sites, without notice, if we believe you’ve broken these rules or put the Sites or our clients at risk.

3. Accounts and portals

Some parts of the Sites (for example a client help desk or portal) require an account. You are responsible for keeping your login details confidential and for everything done under your account. Tell us right away at info@moonscape.biz if you think your account has been used without your permission. We may close accounts that are inactive or used in breach of these Terms. When a client agreement ends, we close the portal accounts that belong to it on the schedule in that agreement, after handing over the records it covers.

4. Booking a call and submitting forms

When you book a call or submit a form, you agree that the details you give are accurate and that we may contact you about your request by email or phone. Booking a call does not create a services contract; it’s an appointment to talk. If you can’t make a booked time, cancel or reschedule using the link in your confirmation email or by writing to us.

5. Quotes, proposals and orders placed through the Sites

Any price shown on the Sites is for information only unless it appears on a quote, proposal or order form we issue to you. Quotes are valid for the period stated on them (30 days if none is stated) and are subject to vendor price and availability changes until you accept them.

If we offer products or licences for sale through an online store on the Sites, the following also applies: orders are accepted when we confirm them by email, and we may refuse or cancel an order where a price was displayed in error, the item is unavailable, or we can’t verify the purchaser. Hardware ships under the manufacturer’s warranty; software licences and cloud subscriptions (including Microsoft and 8x8 licences) are non-refundable once provisioned, because the vendor bills us for them immediately. Returns of unopened hardware are handled under the applicable vendor’s return policy and may carry a restocking fee. Sales tax is added where required. If you buy as a consumer rather than for a business, nothing in these Terms limits the rights you have under consumer protection law, and the refund terms that apply to your purchase are shown to you before you pay.

6. Content and intellectual property

The Sites and everything on them (text, graphics, logos, the IT management map, articles, tools, code and the selection and arrangement of all of it) belong to Moonscape or our licensors and are protected by copyright, trademark and other laws. You may view, download and print pages for your own business evaluation of our services. You may not republish, sell, or build a competing service from our content without our written permission.

“Moonscape” and the Moonscape logo are our trademarks. Microsoft, Dell Technologies, Cisco, Lenovo, Fortinet, Trend Micro, Arctic Wolf, 8x8, CrowdStrike, Palo Alto Networks, Rubrik, Oracle, IBM, Anthropic and Claude are trademarks of their respective owners, used to describe the products we work with. Their appearance on the Sites does not imply that those companies endorse Moonscape.

Process names on our IT management map follow the COBIT 2019 framework published by ISACA. COBIT is a registered trademark of ISACA. Moonscape is not affiliated with ISACA.

If you send us feedback or suggestions about the Sites or our services, you agree we may use them without any obligation to you.

7. Your content

Anything you upload or submit through the Sites (a ticket, a form, a file attached to a support request) stays yours. You give us a licence to use it as needed to respond to you and provide the service you asked for. You confirm you have the right to share it with us and that it doesn’t contain anything unlawful or infringing. Don’t send us payment card numbers, passwords or other secrets through web forms or email; we’ll give you a secure way to share them when it’s needed.

8. Third-party sites and tools

The Sites link to and embed tools run by other companies, including vendor documentation and payment processors where a store is offered. Those sites have their own terms and privacy policies, and we’re not responsible for their content or practices.

9. Privacy

How we collect and use personal information through the Sites is described in our Privacy Policy, which forms part of these Terms.

10. Disclaimers

THE SITES AND THEIR CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. WE WORK TO KEEP THE INFORMATION ON THE SITES ACCURATE AND CURRENT, BUT WE DON’T WARRANT THAT IT IS COMPLETE, ERROR-FREE OR SUITABLE FOR YOUR PARTICULAR SITUATION. ARTICLES, GUIDES AND THE IT MANAGEMENT MAP ARE GENERAL INFORMATION ABOUT IT MANAGEMENT; THEY AREN’T ADVICE ABOUT YOUR SPECIFIC ENVIRONMENT AND SHOULDN’T BE RELIED ON AS A SUBSTITUTE FOR AN ENGAGEMENT WITH US OR ANOTHER QUALIFIED PROVIDER. WE DON’T WARRANT THAT THE SITES WILL BE AVAILABLE WITHOUT INTERRUPTION OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, IN RELATION TO THE SITES.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MOONSCAPE AND ITS OFFICERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITES, EVEN IF WE’VE BEEN TOLD SUCH DAMAGES ARE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US THROUGH THE SITES IN THAT PERIOD AND (B) ONE HUNDRED US DOLLARS (US$100).

Nothing in these Terms limits liability that cannot be limited under applicable law. Liability relating to IT services we provide to you as a client is governed by the Master Service Agreement.

12. Indemnity

You agree to indemnify Moonscape against claims brought by third parties, and the losses and expenses that come with them (including reasonable attorneys’ fees), to the extent they arise from your breach of the rules in section 2 or from your unlawful use of the Sites. This doesn’t cover claims caused by our own breach of these Terms or by our negligence.

13. Changes to the Sites and these Terms

We may change or discontinue any part of the Sites at any time. We may also update these Terms; when we do, we’ll post the new version here with a new effective date. Material changes will be flagged on the Sites or sent to registered account holders by email. Your continued use of the Sites after a change means you accept the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or the Sites will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of those courts. Before filing anything, each of us agrees to try to resolve the dispute by contacting the other in writing and talking it through for at least thirty (30) days.

EACH OF US KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF THESE TERMS OR THE SITES, TO THE EXTENT PERMITTED BY LAW. THE PREVAILING PARTY IN ANY SUCH ACTION MAY RECOVER ITS REASONABLE ATTORNEYS’ FEES AND COSTS FROM THE OTHER; THIS APPLIES EQUALLY TO YOU AND TO MOONSCAPE.

15. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision isn’t a waiver of it. You may not assign these Terms; we may assign them to a successor of our business. These Terms, together with the Privacy Policy and any signed agreement between us, are the entire agreement about your use of the Sites.
